Channel Partner Terms & Conditions

For authorised channel partners of UBOND Services.

Important. This is a strong operational and legal framework, not a guarantee that UBOND can never face a claim. Contractual penalties, liability exclusions, customer rights, privacy duties and contractor issues remain subject to applicable Indian law and the facts of each case. Any fixed penalty must be reasonable and expressly agreed, and is never an automatic punishment overriding law.

1. Appointment

A Channel Partner may generate leads, market services, coordinate customers or perform other authorised activities.

2. Independent status

Unless separately agreed, the Partner is an independent business associate and not an employee, partner or legal representative of UBOND.

3. KYC & accuracy

The Partner must provide truthful KYC/business information and maintain accurate payment and contact details.

4. Territory / exclusivity

Territory, exclusivity, targets or lead ownership apply only if expressly agreed in writing.

5. Lead validity

Recommended default: a lead is commission-eligible for 30 days from verified submission unless UBOND's written commercial schedule states otherwise. A lead already present in UBOND records may be treated as an existing lead.

6. Lead quality

Fake, duplicate, recycled, self-generated (without genuine customer interest) or manipulated leads are not commission-eligible.

7. Commission

Commission is payable according to the current written commercial schedule and only on verified, eligible business.

8. Payment / settlement — every Tuesday

Eligible partner commission is processed every Tuesday after the underlying service is completed, customer payment is realised and the lead/commission is verified — subject to dispute, reversal, fraud review, bank/payment failure or a lawful hold.

9. Unauthorised collection

The Partner shall not collect customer money in UBOND's name unless expressly authorised, and must follow approved records/remittance procedures.

10. Direct deal / customer diversion

The Partner shall not divert UBOND leads/customers into unauthorised private arrangements or misuse UBOND data to compete for the same opportunity, subject to applicable law.

11. Direct deal — consequences

A verified diversion may result in cancellation of the related commission, recovery of proven loss or contractually agreed reasonable compensation, suspension and termination. Any fixed amount must be reasonable and legally enforceable; it is not an automatic statutory fine.

12. Brand & representation

The Partner may use UBOND branding only as authorised and must not make false claims, unauthorised discounts or guarantees.

13. Fraud / misconduct

Fake invoices, forged documents, impersonation, commission manipulation, threats, harassment or other fraud may lead to immediate suspension/termination and lawful action.

14. Data protection

Customer and technician data must be used only for authorised purposes, kept secure, and never sold or shared for unrelated purposes.

15. Confidentiality

Pricing, leads, customer lists, internal processes and business information must be kept confidential.

16. Non-compete limitation

UBOND does not rely on a blanket post-termination non-compete. Any confidentiality, non-solicitation or non-circumvention obligation is narrowly drafted and separately reviewed for enforceability under Indian law.

17. Termination

UBOND may suspend or terminate for material breach, fraud, brand/data misuse, serious misconduct or unauthorised commitments, subject to the applicable agreement/law.

18. Taxes

The Partner is responsible for its own tax and licensing obligations applicable to its independent business, subject to the actual contractual arrangement.

19. Disputes

Disputes should first be raised through UBOND's internal process; statutory rights and mandatory forums remain unaffected.
